OFFICIAL RULES AND REGULATIONS

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. YOU DO NOT NEED A WEALTHFRONT ACCOUNT TO ENTER OR WIN, NOR WILL HAVING AN ACCOUNT INCREASE YOUR CHANCES OF WINNING. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION.

Void in Puerto Rico, Guam, where prohibited by law, and outside the United States and the District of Columbia. Subject to all federal, state, regional, provincial, and local laws, regulations, and ordinances. Sponsor’s computer is the official time keeping device for the Sweepstakes.

  1. Eligibility: The “Create a Brighter Future” Sweepstakes (the “Sweepstakes”) is open to U.S. legal residents currently residing in the United States and the District of Columbia, excluding Puerto Rico and Guam. Entrants must be at least 18 years old or the age of majority (19 in Alabama and Nebraska; 21 in Mississippi), whichever is older, as of the date of entry in order to qualify. The Sweepstakes is subject to federal, state, and local laws and regulations and void where prohibited by law. Forbright, Inc.’s employees, its subsidiaries, affiliates, suppliers, partners, advertising and promotion agencies, and directors (collectively the “Employees”), as well as members of the Employees’ immediate family and/or those living in the same household as Employees are ineligible to participate in the Sweepstakes. Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and Regulations (the “Official Rules”) and to the Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements and meeting all conditions and restrictions set forth herein.The Sponsor reserves the right to verify the eligibility of winner.
  2. Sponsorship: The sponsor is Forbright, Inc. (“Sponsor”), located at 4445 Willard Avenue Suite 1000, Chevy Chase, MD 20815. The Sponsor will conduct the Sweepstakes substantially as described in these Official Rules.
  3. Agreement to Rules: By entering the Sweepstakes, the Entrant (“You” or “Entrant”) agrees to abide by the Sponsor’s Official Rules and decisions, which are fully and unconditionally binding in all respects. The Sponsor reserves the right to refuse, withdraw, or disqualify any entry at any time at the Sponsor’s sole discretion. By entering the Sweepstakes, You represent and warrant that You are eligible to participate based on eligibility requirements explained in the Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the contents of the Sweepstakes.
  4. Sweepstakes Entry Period: The Sweepstakes begins on April 17, 2023 at 12:00am EDT and ends on April 23, 2023 at 11:59pm EDT (“Entry Period”). To be eligible for the Sweepstakes, Instagram entries must be received within the specified Entry Period. Mailed entries must be postmarked before the end of the Entry Period and must be received before April 29, 2023 at 11:59pm EDT. A winner will be selected on or about May 3, 2023.
  5. How to Enter: To enter the Sweepstakes, you can follow @ForbrightBank on Instagram, share the participating post to your Instagram Stories, and tag two friends and @ForbrightBank during the Entry Period. You must share the post to your Story publicly during the Entry Period. For your Story to be public, go to Settings in Your Instagram account and ensure that “Private Account” is turned off. Stories shared to private Instagram accounts and stories that are deleted or removed after sharing may not be received. Limit one entry per person, additional entries will be void. Alternatively, you may also submit one (1) entry containing your name, mailing address, zip code, and email address by sending your request via mail with a stamped, self-addressed envelope to: Forbright 4445 Willard Avenue, Suite 1000 Attn: Marketing Department Chevy Chase, MD 20815, postmarked before the end of the Sweepstakes Entry Period and received before April 29, 2023 at 11:59pm EDT. As a participant, your entry must fully meet all Sweepstakes requirements, as specified in the Official Rules, in order to be eligible to win a prize. Incomplete entries or those that do not adhere to the Official Rules or specifications will be disqualified at the Sponsor’s sole discretion. Fraudulent methods of entry or circumvention of the rules may result in the Sponsor invalidating your entries and removing them from the Sweepstakes at the Sponsor’s sole discretion.
    All entries become the property of the Sponsor and will not be acknowledged or returned. Although subsequent attempts to enter may be received, only the first complete entry received from a particular Entrant will be eligible; subsequent attempts by the same person to enter, including entries submitted with an alternate email address or Instagram account, will be disqualified. Machine or computer generated mass entries will be disqualified. Sponsor is not liable for lost or damaged entries. Proof of transmission does not constitute proof of entry. Entry into the Sweepstakes constitutes agreement to the Official Rules and agreement to be bound by all decisions of the Sponsor acting in its sole discretion. All issues of interpretation are to be decided by Sponsor.

  6. Prize: There is one (1) Prize Package (“Prize” or “Prize Package”) available to be won. Winner of the Sweepstakes (the “Winner”) will receive one (1) Prize Package containing the following products:
  • One (1) $150 Gift Card to Allbirds (ARV $150)
  • One (1) month subscription to Imperfect Foods (ARV $200)
  • One (1) Clean Suite Kit from Blueland (ARV $126).
    The total ARV (Aggregate Retail Value) of the Prize Package is $476. The actual/appraised Prize value may differ at the time the Prize is awarded. Actual Prize may differ from promotional images. Odds of winning will depend upon the total number of eligible entries received. The Prize shall be determined solely by the Sponsor. The Sponsor reserves the right to substitute prize of greater or equal value. There shall be no cash or other Prize substitution permitted except at the Sponsor’s discretion. The Prize is non-transferable. The Winner, upon acceptance of the Prize, is solely responsible for all expenses related to the Prize, including without limitation any and all local, state, and federal taxes. The Winner shall not transfer assignment of the Prize to others nor shall the Winner request the cash equivalent or Prize substitution. By accepting the Prize, the selected Winner grants permission for the Sponsor to use the Winner’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law. The Prize will be forfeit if the Winner does not comply with the Official Rules. The Winner must look to Prize manufacturers for any warranty issues. The Sponsor is not liable for the performance of the Prize.
  1. Selection and Notification of Winner: The Winner will be selected randomly through an automatic name generator under the supervision of the Sponsor on or around May 3, 2023. The Sponsor will notify the Winner(s) by email or Instagram message within seven (7) days following Winner selection. The Sponsor is not responsible for nor be liable for for Winner’s failure to receive notices due to email security settings that may cause notifications to be marked as spam or junk email. Nor shall be Sponsor be liable for the Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner 1) fails to claim the prize within seven (7) days from the time the award notification was sent, 2) is found ineligible, or 3) does not complete and return an executed affidavit of eligibility, W-9 form and liability/publicity release within the specified timeframe, the prize may be forfeited and an alternate Winner may be selected. Receipt of the prize offered in the Sweepstakes by the Winner is upon the condition of compliance with any and all federal, state, and local laws and regulations. IF THE WINNER VIOLATES ANY OF THE OFFICIAL RULES, THE WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
    Potential Winner is subject to verification by Sponsor. An Entrant is not a Winner of any prize unless and until Entrant’s eligibility has been verified and Entrant has been notified that verification is complete.
  2. Rights Granted by You: By submitting an entry into the Sweepstakes, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, your submission, name, photo, portrait, voice, likeness, image, statements about the Sweepstakes, and your biographical information for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration. Entries that infringe upon the intellectual property rights of others will result in disqualification of Entrant.
  3. Terms & Conditions: In its sole discretion, the Sponsor reserves the right to modify, suspend, cancel, or terminate the Sweepstakes should non-authorized human intervention, a bug or virus, fraud, or other causes beyond the Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Sweepstakes. The Sponsor, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) the action taken by the Sponsor. Individuals who tamper with or attempt to tamper with the operation or entry process of the Sweepstakes or violates the Official Rules will be disqualified by the Sponsor in its sole discretion. In its sole discretion, the Sponsor has the right to maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to: multiple entries from the same user or the use of bots, macros, scripts, or other technical means for entering. Attempts by any Entrant to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law. The Sponsor reserves the right to modify or terminate promotion and to disqualify any Entrant if, in its sole discretion, integrity or fairness of the Sweepstakes has been compromised.
  4. Limitation of Liability: Your entry into the Sweepstakes constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers (“Released Parties”) against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Sweepstakes and/or the 1) Winner accepting, possessing, using, or misusing of any awarded prize or any portion thereof; 2) any type of technical failure; 3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; 4) unauthorized intervention in any part of the entry process or the Sweepstakes; 5) electronic error or human error in the Sweepstakes administration or the processing of entries.
    The Released Parties are also not responsible for any malfunction of any Sweepstakes website or webpage or error in the collection, processing or retention of entry information. Your entry into the Sweepstakes constitutes Your complete release of Instagram from any and all claims and liability.
    WITHOUT LIMITING THE FOREGOING, AND EXCEPT WHERE PROHIBITED BY LAW, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING THE PRIZE, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  5. Disputes: THE SWEEPSTAKES IS GOVERNED BY THE LAWS OF MARYLAND WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. The Entrant agrees, as a condition of participating in the Sweepstakes, that all disputes, claims or demands that relate to the Official Rules will first be brought to the attention of the other party and will be resolved individually, without resort to any form of class action. The receiving party shall have sixty (60) days from the date of such notice to remedy the described breach or violation and notify the complaining party in writing of the resolution. If the dispute, claim or demand is not resolved to the satisfaction of the complainant within 60 days, the complainant may request an informal resolution conference (mediation), which if agreed to by the other party will be scheduled to occur within 21 days of the written response. Each party shall have the right to be represented at such a conference by counsel and will ensure that a decision-maker with full and complete authority to resolve the dispute attends the conference. Such conference will be in front of a third party mediator chosen by the parties. If the parties do not agree to conference or are unable to resolve a dispute after such a conference, the parties agree that exclusive jurisdiction for any dispute, claim or demand related in any way to these Rules will be decided by binding arbitration. All disputes between the parties, of whatsoever kind or nature arising out of these Rules, shall be submitted to JAMS for binding arbitration under its applicable rules then in effect, before one arbitrator to be mutually agreed upon by both parties. The parties agree to share equally in the arbitration costs incurred.
  6. Requests must be postmarked no later than May 17, 2023.
